PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEBSITE.

These Terms of Service (“Terms”) govern your use of the Natural Wholesale website (the “Site”) and all purchases made through it. By using the Site, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

If you are under the age of 18, your parent or guardian must review and accept these Terms on your behalf before you may use the Site. This Site is not directed to children under 13 years of age.

0. Interpretation & Definitions

  • “Company,” “we,” “our,” “us” refers to Natural Wholesale, LLC.
  • “Customer,” “you,” “your” refers to any purchaser, visitor, or user of this Site.
  • “Products” refers to all goods manufactured, supplied, or distributed by Natural Wholesale.
  • Headings in these Terms are for convenience only and shall not affect interpretation.
  • These Terms, together with our Shipping & Returns Policy and Privacy Policy, constitute the entire agreement between you and Natural Wholesale regarding your use of the Site and purchase of Products.

1. Limited License to Modify & Resell Products

Natural Wholesale grants buyers a limited, non-exclusive license to:

  • Modify products purchased from Natural Wholesale.
  • Repackage such products under their own retail brand.
  • Supply them to third parties.

Once products leave our facility, Natural Wholesale assumes no liability for:

  • Safety, efficacy, or shelf life of modified or repackaged products.
  • Claims, labeling, or representations made by the customer.
  • The resale, distribution, or marketing of those products.

Customers are solely responsible for ensuring that their final products are compliant, safe, and lawfully marketed.

2. Customer Responsibility for Labeling & Compliance

Customers are fully responsible for all content on labels they create, including ingredient lists, safety warnings, storage requirements, directions, and claims.

Natural Wholesale provides ingredient information but does not make or support labeling or marketing claims.

Any claims regarding product benefits, performance, or therapeutic use must be validated through independent third-party testing.

Customers agree to indemnify and hold Natural Wholesale harmless from any claims, damages, or liabilities arising from their labeling or marketing practices.

3. Product Variations, Storage & Shelf Life

  • Due to the natural variation of raw ingredients, slight differences in color, scent, or viscosity may occur between batches. These variations are not defects.
  • Shelf life depends on storage conditions. Natural Wholesale does not guarantee specific shelf life for any product. Customers are responsible for third-party testing to validate any shelf life claims they make.
  • Customers are responsible for storing all products in proper climate-controlled conditions after receipt.

4. Backorders

In the event of a backorder, we may choose to:

  • Wait until the order is complete, or
  • Ship a partial order.

5. Shipping, Risk of Loss & Damaged Goods

  • All orders are shipped FOB Sparks, Nevada. Title and risk of loss transfer to the customer once products are loaded onto the carrier.
  • Natural Wholesale is not responsible for carrier performance, delays, or damage in transit.
  • Customers must inspect deliveries immediately. Visible damage must be noted with the carrier at delivery.
  • All damage claims must be reported within 10 days of receipt.
  • For freight shipments, the customer is responsible for arranging appropriate climate-controlled transport.
  • Please note that our shipping timelines are estimates only. While we make every effort to meet them, processing times may vary due to raw material availability, order volume, carrier delays, or other factors beyond our control. Natural Wholesale does not guarantee delivery dates unless otherwise agreed to in writing.

6. Insurance

Customers who repackage or resell Natural Wholesale products must maintain their own business and product liability insurance.

Once products are altered, repackaged, or distributed by the customer, Natural Wholesale’s insurance does not apply.

7. Samples & Testing

  • Samples are available and strongly recommended before placing bulk orders.
  • Customers are responsible for conducting their own safety testing before resale.
  • All bulk product sales are final once shipped if they match the correct product ordered. Dissatisfaction with fragrance, texture, or appearance is not grounds for return.

8. Payment Terms

  • Payment in full is required before shipment unless otherwise agreed in writing.
  • Orders are not guaranteed until payment has cleared.

9. Pricing & Availability

  • Prices are subject to change without notice.
  • Due to the commodities nature of oils and raw ingredients, pricing is confirmed at the time of order only.
  • We reserve the right to refuse or cancel any order placed at an incorrect price, even after confirmation.

10. Returns & Refunds

  • All sales are final.
  • Returns are not accepted except in cases of verified shipping damage.
  • Customers are responsible for ordering samples before committing to bulk purchases.

11. Copyright & Trademarks

  • All Site content (text, graphics, images, and code) is the property of Natural Wholesale and protected by copyright law.
  • Customers may copy or print content solely for placing orders. Any other use is prohibited.
  • All trademarks and trade names of Natural Wholesale are proprietary to Natural Wholesale.

12. Disclaimer of Warranties & Health/Safety Notice

  • The Site and all products are provided “as is” and “as available.”
  • Natural Wholesale disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • None of the products sold are intended to diagnose, treat, cure, or prevent any disease.
  • No statements on this Site have been evaluated by the FDA or any regulatory body.
  • Products may cause allergic reactions, sensitivities, or adverse effects. Customers are responsible for appropriate warnings to end-users.
  • Natural Wholesale is not liable for reactions, injuries, or damages resulting from use or misuse of products.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Natural Wholesale shall not be liable for any indirect, incidental, special, or consequential damages.
  • Our maximum liability shall not exceed the purchase price of the specific product giving rise to the claim.
  • Once products leave our facility, all liability transfers to the customer.

14. Indemnification

You agree to indemnify, defend, and hold harmless Natural Wholesale, its affiliates, and its owners, officers, employees, and agents from and against any claims, losses, or liabilities (including attorney’s fees) arising out of:

  • Your modification, repackaging, or resale of our products.
  • Your labeling, marketing, or regulatory compliance.
  • Your violation of these Terms or applicable laws.

15. Termination

We may terminate or suspend your access to the Site at any time, without notice, for any reason. Provisions relating to Copyright, Trademark, Disclaimer, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

16. Intellectual Property Rights in Formulas & Documentation

All product descriptions, formulations, and documentation provided by Natural Wholesale are proprietary. Customers may not copy, reverse-engineer, or distribute formulations, processing instructions, or other intellectual property without prior written consent.

17. Confidentiality

Any non-public information disclosed by Natural Wholesale, including pricing structures, supplier details, or proprietary processes, is considered confidential. Customers agree not to disclose, reproduce, or use this information outside of their direct business dealings with Natural Wholesale.

18. Export Compliance

Customers are responsible for ensuring that any products purchased are not exported, sold, or distributed in violation of U.S. export control laws, sanctions, or other applicable trade restrictions.

19. User Accounts & Security

If you create an account on our Site, you are responsible for maintaining the confidentiality of your login credentials. You agree to accept full responsibility for all activities conducted under your account. Natural Wholesale reserves the right to suspend or terminate accounts suspected of misuse.

20. Minimum Order Quantities & Bulk Orders

Certain products may require minimum order quantities (MOQs) or longer lead times. Natural Wholesale reserves the right to impose MOQs or adjust delivery timelines for large or custom orders.

21. Force Majeure

Natural Wholesale shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure arises from events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic, pandemic, war, terrorism, labor disputes, supply chain interruptions, equipment or power failures, transportation delays, or government actions.

In the event of a Force Majeure occurrence, obligations shall be suspended for the duration of the delay. If performance is rendered impossible for more than sixty (60) consecutive days, either party may terminate the affected order without liability, except for payment obligations accrued prior to the Force Majeure event.

22. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Nevada. Any disputes shall be resolved exclusively in the state or federal courts of Washoe County, Nevada.

23. Changes to Terms

We may revise these Terms at any time without prior notice. Updates will be posted on this page, and continued use of the Site constitutes acceptance of the updated Terms.

24. Entire Agreement

These Terms, together with our Privacy Policy and Shipping & Returns Policy, constitute the entire agreement between you and Natural Wholesale and supersede all prior understandings or agreements relating to your purchase and use of our products.

25. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
